Terms of Service
These Terms govern your use of the AivaMD medical billing platform. Please read them carefully.

1. Acceptance of Terms
By accessing or using AivaMD ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms apply to all users, including healthcare providers, clinic administrators, and any other individuals accessing the platform.
We may update these Terms at any time. Material changes will be communicated via email with at least 30 days notice before taking effect. If you do not agree to material changes, you may terminate your account before the changes take effect. Continued use of the Service after changes constitutes acceptance.
2. Description of Service
AivaMD provides an AI-powered medical billing platform designed for Alberta physicians, including: automated ICD-9 diagnosis coding, Alberta SOMB billing code extraction, claim management, and H-Link EDI submission to Alberta Health.
The Service is designed to assist healthcare providers in preparing billing claims. AivaMD does not practice medicine, provide medical advice, or guarantee billing outcomes.
AI-generated billing suggestions are provided for review by the physician and should not be submitted without independent professional verification. The final responsibility for all billing decisions and claim accuracy rests solely with the physician.
3. Acceptable Use
You must be a licensed healthcare provider or authorized billing agent to use AivaMD for billing purposes.
You must obtain patient consent before entering any patient health information into the platform, including encounter notes, health card numbers, diagnoses, and personal details. As the custodian of your patients' health information under the Alberta Health Information Act, your patient consent obligations are your responsibility.
You are responsible for the accuracy of all information entered into the platform, including patient health card numbers, encounter details, and billing codes.
You must not use the Service to submit fraudulent claims, misrepresent services, or violate Alberta Health billing rules.
You must not attempt to access other providers' data, reverse-engineer the Service, or circumvent security measures.
You must not use AI-generated outputs, billing suggestions, or any content produced by the Service to train, develop, or improve a competing AI system.
You must immediately notify AivaMD at support@aivamd.ca if you identify any adverse event, patient safety concern, or material inaccuracy in the Service's output that could affect patient care or billing compliance.
Violation of these Terms may result in immediate account suspension and reporting to relevant regulatory bodies.
4. Subscription and Payment
AivaMD offers a Starter tier (5 claims, one-time, no credit card required) and paid plans: Pay Per Claim at $1.10/claim (no subscription) and Pro at $99/month (unlimited claims).
Paid subscriptions are billed through Stripe. By subscribing, you authorize recurring charges to your payment method.
Subscriptions renew automatically at the end of each billing period. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current period.
Refunds are not provided for partial billing periods. If you believe a charge is in error, contact support@aivamd.ca within 30 days.
AivaMD reserves the right to change pricing with 30 days notice to active subscribers.
5. Cancellation and Termination
You may cancel your subscription at any time through the billing portal or by emailing support@aivamd.ca.
Upon cancellation, your account will remain active until the end of the paid period, after which it will revert to the Starter tier.
Your data will be retained for 7 years post-cancellation for regulatory compliance, unless you specifically request deletion.
AivaMD reserves the right to suspend or terminate your account immediately, without prior notice, for breach of these Terms, fraudulent use of the Service, failure to comply with applicable law, or conduct that poses a risk to the security of the platform or to other users.
6. Information Manager Agreement (HIA)
AivaMD acts as an Information Manager under the Alberta Health Information Act (HIA), RSA 2000, c H-5, processing health information on behalf of physicians who are the custodians of that information.
AivaMD enters into a written Information Manager Agreement (IMA) with each custodian (physician or clinic) as required by HIA s.66(2). These Terms set out the baseline data-handling commitments incorporated into that agreement: (a) health information is used solely for the purpose of generating billing codes, managing claims, and submitting to Alberta Health on your behalf; (b) AivaMD will not collect, use, or disclose health information beyond what is necessary to provide the Service; (c) AivaMD will protect health information using industry-standard security measures including TLS 1.2+ encryption in transit and AES-256 encryption at rest; (d) you may request a data export and deletion of your health information at any time, and AivaMD will honour deletion requests except where retention is required by law. Health information is retained only as long as needed to provide the Service and to meet applicable medical-billing recordkeeping requirements, after which it is securely destroyed or anonymized.
You remain the custodian of your patients' health information and are responsible for ensuring your use of AivaMD complies with your obligations under HIA and CPSA standards, including obtaining patient consent for recording encounters.
7. H-Link and Alberta Health Compliance
AivaMD has completed H-Link accreditation through Alberta Health and is authorized to submit claims electronically on behalf of registered physicians. Claims are transmitted via secure SFTP in H-Link EDI format.
You are responsible for ensuring your Practitioner ID (PRACID) and billing information are accurate and current with Alberta Health.
AivaMD makes no warranty that claims submitted will be accepted by Alberta Health. Rejection or denial of claims is governed by Alberta Health policies and your compliance with the Schedule of Medical Benefits.
AivaMD is not responsible for delays, rejections, or financial losses arising from claim submission errors.
8. Limitation of Liability
AivaMD is provided "as is" without warranties of any kind, express or implied.
AivaMD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of goodwill.
Our total liability to you for any claim arising from use of the Service shall not exceed the amounts paid by you in the 12 months prior to the claim.
Some jurisdictions do not allow limitation of liability for certain types of damages; the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless AivaMD Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your use of the Service in violation of these Terms; (b) your negligence or misconduct in the use of AI-generated billing outputs; (c) your failure to comply with applicable privacy laws, including the Alberta Health Information Act, PIPA Alberta, and PIPEDA; (d) any claim by a patient or third party arising from your use of the Service; or (e) your submission of inaccurate, fraudulent, or unauthorized billing claims to Alberta Health.
This indemnification does not apply to the extent a claim arises directly from AivaMD's own negligence or wilful misconduct.
10. Intellectual Property
AivaMD and its content, features, and functionality are owned by AivaMD Inc. and protected by Canadian and international copyright, trademark, and other laws.
You retain ownership of all health data and clinical content you enter into the Service.
By using the Service, you grant AivaMD a limited license to process your data solely to provide the Service. You grant AivaMD a non-exclusive, royalty-free license to use anonymized, aggregated feedback and usage data to improve the platform. AivaMD will not train AI models on individual patient records.
11. Privacy and Applicable Law
The collection, use, and disclosure of personal information through the Service is governed by the Alberta Personal Information Protection Act (PIPA), SA 2003, c P-6.5, and where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA), SC 2000, c 5.
Our Privacy Policy, available at aivamd.ca/privacy, forms part of these Terms and describes how we collect, use, and protect your personal and health information.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Any disputes will be resolved in the courts of Alberta.
